General policies for agent partners

1. Discount Policy for Regular Purchases

Based on the committed quarterly sales, Agent partners will participate in a product price discount program on the sales volume dedicated to Agent. Upon reaching the committed purchase volume, Agent partners will enjoy a discount according to the pre-agreed rate at the beginning of the quarter. This DISCOUNT PRICE policy is independent and runs concurrently with other support or business promotion programs from the Manufacturer/Distributor for Agent partners.

2. Product price and price protection policy

a. Product pricing policy for agent

Based on the Agent's purchase results and other cooperation commitments, Agent partners will enjoy a special support pricing policy for the corresponding Agent level. The product pricing policy always ensures competitiveness and maximum profit for the Agent partners in the market.

b. Product price protection policy

If the distributor reduces the selling price, Agent partners are protected for the prices of the products already ordered according to the previous purchase quantity and stock code. This will be verified by the distributor within 30 days from the date of the price reduction announcement. In case the distributor increases the product selling price, Agent partners will be notified in advance (from 45 to 60 days) to have an appropriate stocking policy according to the actual situation.

3. Customer protection policy for agent

Agent partners are encouraged to expand the market and increase customers to become the sole, exclusive distributor of products in the designated area within the distributor's system. Agent partners are assigned a Agent code, which will be provided to customers, and when the Agent's customers contact the distributor directly, the distributor will refer the customers back to the Agent partner for service. In case retail customers contact the distributor directly, we will refer the customers to the nearest Agent partner - the Agent partner where the customers reside. The distributor protects the right to develop new locations for Agent across the entire distribution channel for a minimum of 3 months and not more than 6 months.

4. Marketing support policy for agent

Agent partners are supported with catalogs, flyers, banners, etc., according to the distributor's programs. Agent partners' information will be advertised with the distributor on mass media and the distributor's website. Agent partners are eligible to participate in all promotion and sales push programs of the distributor. Agent partners are issued a certificate as the official Agent of the Manufacturer and Distributor. Agent partners are updated with information on prices, product information, manufacturer and distributor policies, marketing programs, and sales promotion materials.

5. Technical solution support policy

Agent partners are supported with technical assistance via phone or directly on-site upon request. Additionally, when issues exceed the handling capability, the Manufacturer/Distributor's technicians will provide on-site support. Agent partners are trained and instructed according to the Agent level corresponding to each product line, technology, and sales knowledge under the Manufacturer's or Distributor's training programs when scheduled. When participating in tenders and projects, Agent partners will receive advice and support on solutions and technical aspects from the Manufacturer or Distributor if requested.

6. Product support policy for agent

a. Product exchange policy

Within 7 days from the invoice date, if the Agent's product is identified as faulty due to the Manufacturer, Agent partners will be entitled to a new product exchange. In case the distributor no longer has a similar product for exchange, the distributor commits to maximum support to resolve the issue for the Agent partners effectively. This includes measures such as refunds or providing equivalent replacement products.

b. Product return policy

If the received goods do not meet the purchase agreement regarding quality, quantity, or price, Agent partners have the right to return the goods to the distributor. The return process must be carried out within 7 days from the invoice date, accompanied by a handover report to confirm the condition of the returned goods.

c. Sample display support

To assist Agent partners in displaying and promoting new product lines or launching new business locations, the distributor will provide sample display and trial products. Agent partners need to contact the distributor directly to discuss and arrange product loans as needed.

d. Product transportation support

The distributor will cover all transportation costs to deliver products directly to the Agent partner's sales points. Additionally, the distributor will be responsible for ensuring the quality of goods throughout the transportation process from the distributor's warehouse to the Agent's delivery location. This ensures that goods are delivered on time, in the correct quantity, and with the promised quality.

1. Managing and developing the registered business area

Agent manage the registered area with the distributor, proactively expanding and developing customers and the market in that area. Agent need to build and strengthen their sales network through healthy and professional activities and methods.

2. Expanding branches and protecting business locations

When expanding branches to new locations, Agent will receive maximum support from the Manufacturer/Distributor. At the same time, Agent are also protected across the entire system according to priority principles. Agent need to develop detailed development plans and notify new locations to the Manufacturer/Distributor for protection, to avoid unhealthy competition among Agent.

3. Planning business and customer development

Agent must independently plan their business activities, develop customers, and introduce products to consumers in the registered or newly protected areas by the Manufacturer/Distributor. If within 3-6 months after protection registration, the plan is not implemented, the distributor has the right to transfer the protection rights to the next registered Agent.

4. Cooperation and support in expanding the business network

In cases where the distributor plans to expand the business network, they will notify the nearest Agent or announce it on the official website. Agent have the right to register to participate and support the distributor in expanding the network at that location according to priority principles.

5. Supporting promotion and advertising programs

Agent need to support the Manufacturer/Distributor when there are promotion and advertising programs at their business points.

6. Compliance with product and price regulations

Do not sell products with unclear origins. If an exclusive distributor, do not sell similar products of other brands. Ensure retail prices for end customers are equivalent to the distributor's suggested prices, and do not engage in price dumping.
